You can receive a referral fee, subject to the terms and conditions below, for every lead that you provide Cypress Communications that results in a valid sale of “Cypress Voice Services” which include C2, C2 Enhanced, (formerly named EZ Office Digital) and C4 IP Communications services to a new Cypress Communications customer. We refer to your leads that qualify for a referral fee according to these terms as a “Qualified Lead.” The referral fee will be based on the number of Seats initially installed for a Qualified Lead. “Seats” are defined as the number of Extensions (as defined in Cypress Communications’ Master Terms and Conditions found at http://www.cypresscom.net/legal/mtc.htm) including lobby phones, conference room phones, break room phones, and fax lines. No referral fees are paid under this Rewards Program if the lead does not purchase Cypress voice service from us.

• For each Qualified Lead, referral credits are only paid on the first service order accepted by us and no amounts are paid for additional Seats or other services added after initial installation of the Qualified Lead’s service. The maximum referral fee is $500 per Qualified Lead. The referral fees are a one-time credit. No referral fees are paid for an otherwise Qualified Lead for whom we initially install less than 5 Seats.
  
• This Rewards Program is designed to offer incentives to customers who refer their contacts to Cypress as prospective customers. You must be a current Cypress Communications customer to participate in this Rewards Program. However, to participate in the Rewards Program, at the time a lead is made and at the time that you are owed a referral fee under this program, you (i) must be 21 years of age or older, (ii) a resident of the United States, and (iii) may not be a Cypress Communications employee or sales agent or directly related to a Cypress Communications employee or sales agent
  You may submit a lead by completing the lead submission form at http://www.cypresscom.net/rewards.
  
• We reserve the right to change these program terms or cancel the Rewards Program at any time, effective upon notice posted on Cypress Communications’ website at http://www.cypresscom.net/rewards or, in our discretion, by providing notice of such changes or cancellation via email to your email address that you provide to us in your submission of a lead. The program terms in effect at the time that the first service order with a Qualified Lead is accepted by us will be the terms applicable to the payment of any referral fees owed to you. If we terminate this rewards program after you submit a lead, but before Cypress Communications enters into a service order with that lead, then you will not be entitled to any amount for that lead. As a condition to participating in this Rewards Program, you must have Internet access via a commonly used browser and an email account to facilitate our correspondence with you.
  
• The intent of this Rewards Program is for participants in the program to refer prospects with whom they have personal contact. Our sales professionals may contact you to inquire as to your relationship with the leads that you make to us. If we determine, in our sole judgment, that you are submitting leads outside the spirit and intent of the Rewards Program (e.g., submitting lists of companies and contacts with whom you have no personal contact), then we may deny your participation in this Rewards Program and make you ineligible to receive any referral fees under this program.
  
• We may make you ineligible, in our sole discretion, from participating in this Rewards Program if the information you provide to us is inaccurate or incomplete in any way. In order to receive the credit, Customer’s account must be in good standing at the time the credit is due.
  
• We will issue a one-time referral invoice credit in accordance with the Lead Fee Schedule above for each Qualified Lead that results in a new service order (e.g., not a renewal) for Cypress Voice Services that is accepted by us within one hundred twenty (120) days after the date of your submission of the lead form for the Qualified Lead. Referral fees are issued as a one-time invoice credit.
  
• You may not (i) receive more than one referral credit for any one Qualified Lead; (ii) receive a referral credit for a lead that is an existing or current prospective customer of Cypress Communications, or (iii) refer yourself, your employer, or your company as a lead under this program. If an otherwise Qualified Lead is submitted to us by more than one person, then the first eligible person or entity to submit their lead to us in accordance with the then current terms of the Rewards Program will be the only person or entity who is eligible to receive the referral credit under this program. Once we receive the name of a lead, that person or entity is considered a current prospective customer.
  
• To be eligible for payment of a referral credit, the service order with a Qualified Lead must have a commitment term of at least twelve (12) months for C2 and C2 Enhanced (formerly named EZ Office Digital) and at least twenty-four (24) months for C4 IP and be for at least five (5) Seats.
  
• The information that you provide to us under this program will be treated in accordance with our current Privacy Policy, posted at http://cypresscom.net/legal/pp.htm.
  
• THE REWARDS PROGRAM IS VOID WHERE PROHIBITED BY LAW.
  
• Reference in these terms to “we,” “us,” “our” and “Cypress Communications” are to Cypress Communications, Inc. References in these terms to “you” or “your” are to the person and company designated in the section “Your Information” of the lead form.
  
• You may retain a copy of these terms for your records by printing these terms and/or saving this file.
  
• These terms shall be exclusively construed, governed and enforced under the laws of the State of Georgia (without regard to its rules governing conflict of laws) and any applicable laws of the United States. The parties agree that the exclusive venue for all matters relating in any manner to these terms shall only be in a court of competent jurisdiction located in Fulton County, Georgia. Each party consents and submits to the personal jurisdiction of such courts and waives any and all defenses inconsistent with this paragraph.
